I am a basic director within a Pvt Limited company which has a mandatory 2 director policy. Now i want to get hold of out of this company and have no ties next to it…. profit or loss. I was more a sleeping partner surrounded by this company with no foot. I have done nil illegal (if this press is in your mind right now).Options iam looking at:
1. I quit by making other director the primary director
2. Somebody else can be made Basic director. (3rd person)
The company is base out of Bangalore India. I don’t mind hiring a good agent for this. Reply to this question with details of the solution and total expense we are looking at.

Answers: It depends on the bylaws.
Normally you simply hold a board meeting and vote contained by a new director to replace you until the subsequent shareholder meeting when directors are elected.
The bylaws should specify what happen when a director resigns or dies.
I think the easiest entry is that the Chairman of the Board of Directors appoints an acting director until the shareholders hold their election.
