Can a Limited Company hold 100% voting? (UK)?

In Company law, is the 3/4 vote needed for special resolutions close to rule changes, dissolution clause, and change to the aims and objectives, a default ruling, ie., is it a minimum vote height allowed, so that members can if they longing, choose to have a 100% vote, if they want that?, so that if that sophisticated voting requirement is written in to a companys articles, does that rob precedence over the statutory requirement of a 3/4 vote?

but if you own 100% you call the shots
if you own 51% you phone the shots

your question appears to be trying to find problems that purely dont exist.
i work for a limited company and adjectives that what you just say is rubbish the bloke who owns the company makes the decision and thats final like it or lump it.

As long as there is a quorum at the union, then rules etc can be passed near a 75% vote.

Answers: Yes, the articles can specify that a unanimous vote is required in various instances.
They're very adjectives for 'entrenchment provisions', where 100% is required to variation the articles themselves, for example.

However, I'm pretty sure, in some situations, the statutory level do take precidence.
I couldn't relay you exactly which though.

Has anyone used a company to incorporate that they recommend?

My brother is planning on incorporating his business(in Idaho). I know what the process of incorporation is and what it does, but I've advised him to salary a company to help him obtain it done correctly. Has anyone used any specific company that they would recommend? He will most likely be forming an S-corp.


Answers: I used a legal representative in Florida when I did mine. He said to stay away from companies because most aren't of any help out.
