Is this banned and if so what's it call?
I own 10% of the company I work for. I know my boss (who owns 90%) is unhappy he doesn't own it adjectives. He is determined (in my paranoid opinion) to relieve me of the share.The company is developing a new and promising product, which when completed will be the sole asset of the business (for adjectives intents and purposes). Could he set up another company (owned 100% by him), "sell" the completed product for a dollar to this other company and basically move out me with 10% share of a useless insolvent company? Would that be illegal (it for sure sounds illegal) and if so what would be the term for that practice?
I singular ask because he has mentioned marketing the product underneath a company of it's own and though I assumed it would be a subsidiary (where I owned a share of the parent company), I wouldn't be surprised at all if he be up to no good. Any guidance is appreciated. Thanks
Answers: There are many cases where on earth this has be done.. and it is unethical and could create liability for your boss.
I have in reality litigated this and if any of the current company's assets are used to develop the new product later it is a "fraudulent transfer" and "shareholder opression" case if he tries anything..
go and get yourself your own attorney to advise you.
As the 90% "Owner" of the corporation, I assume you penny-pinching he is also the President and a Director.
In my state, the Director is pretty much immune from personal liablity, but would be liable for taking corporate actions which he know is not in the best interest of the corporation.
