Most states require at tiniest two officers and two directors. Commonly, the directors are the officer. A few states require more for non-profits. I know of none that require only one simply because at hand is no continuity if the only officer/director become incapacitated.

Hi Guys, I find it confusing to find some companies report negative proceeds for a few years. (sometimes by alot, few millions for example)

Can a company really take that sort of pouring losses for years? How does it get the funds to survive the following year?
Or am I in recent times missing out some other factors :)

There are several reason.

First of all, roomy corporations have plentifully of stored wealth contained by their assets and can afford to lose money in operation with little impact.

If you want to know how much "cash" is anyone lost, you have to look at the Statement of Cash Flows. You'll sometimes see a company next to a loss from operations and a gain surrounded by cash, and it's possible for them to be surrounded by a better position because of it.

(One of the answers above mentioned Enron appearing so successful when they were in reality bankrupt. Well they do not post salary for a purpose. Low paid workers take lower pay and a smaller amount benefits. The companies can either steal a tax loss. More than expected though the government bails these companies out similar to American Airlines and Trump Enterprises which our tax dollars be used to bail out their bad nouns decisions. There funds may not survive the following years that is to say why they sell shares within these companies, but they count of the fact that not adjectives the investors want there money right away.

You can't simply look at a company's profits to judge its financial robustness, you also need to consider the dosh flow and balance sheet of a company. These will speak about you if there are satisfactory assets to cover the company's expenses (liabilities) and if there is ample cash flow to collect operating needs.

If a company have negative profits and doesn't own enough currency to cover expenses, then they can lift money by issuing stock or taking out loans.
No to be funny., but look at the airline industry. What bank requirements to force them into closing down and have to reposess 200(or more) used airplanes?Or, GMN, what dune wants to hold a slightly obsolete auto plant on their hand. ?

How do I attain a quorum for a 50/50 corporation when the other shareholder is non-responsive?

The other 50%shareholder hasn't responded in 4 months to phone or certified communication Notice of Special Meeting. Surely this is not the first time ever...I want to dilute the ownership based on amount of auxiliary capital contributed, or better but, make a possessions call and when he doesn't hold the $, offer to buy him out by covering his property call. The by-laws be paid no provisions for non-quorum decisions save for to close the corp due to insolvency. I would rather keep hold of the corp even if I have to cover adjectives the accrued expenses myself. This is tricky and points out the problems in 50/50 ownership arrangements. You should be paid an appointment with a legal representative OTHER THAN the one who handles the day-to-day company business. (There will be a conflict if you use this one.) That is a bad buy and sell, I hope you don’t have a big company. My thinking is that with a small company you at most minuscule have a minimized risk of have an identity thief within your midst. That is all the info someone requests to set up parallel credit card accounts.

I’d make an anonymous tip to the police. Whether it be intentional or accidental your employer have committed a crime (at least by US law) by allowing this confidential and sensitive information to be released. The police can sort it out. Plus the criminal investigation forms the foundation for any civil action organization may need to purloin as a direct result of the identity thefts.

I believe you can contact the assorted credit agencies and report the event. I think they volunteer a credit freeze type situation that can prevent you and anyone else from taking out new credit cards contained by your name for a short length of time (like 6 months). Best of luck.
