Why are some shares are sold at a premium, some at par and some at a discount??
If money is the only consideration within the minds of the issuer, then why deal in the shares at par or at a discount and not at a premium all the time??Answers: I assume you are discussion about preferred stock and or bonds. Let us used bonds for the illustration. If a bond is issued and its interest rate is equal as the current market rate the bond will supply at its par value (the nominal frontage value of the bond).
If interest rates budge up and the bond is sold, the selling price will be discounted to keep the rate of return the investor make in rank with the market's prevailing rates.
On the other foot if interest rates go down later the market will price the bond at a premium to hold the rate of return from being contained by excess of the market's prevailing demand for return.
In these instances emergency either bids up the price of a bond allowing the holder to deal in at a premium of the market bids down the bond price forcing sell to be discounted.
The examples provided assume that the market is well-run and the current market returns are for like peas in a pod class (safety) of bond as the one being purchased/sold.
Preferd stock works much resembling a hybrid between bonds and stock.

What Happens to Preferred Shares when in attendance is a buyout?
Just for example..Say if Yahoo! did had preferred shares outstanding, issued at $25. And if the Microsoft purchase go through. What would happen to Yahoo! preferred share holders?
Is near a separate bid for Pref. Shares? or are they just redeem for face convenience by the purchasing company?
