Answers:   Reg S bonds (or stocks) are offered to non-US residents and qualified institutional buyers under an exception to US securities law. This exemption was set forth as "Regulation S". Non-residents and qualified institutional buyers do not bring back the same lawful protection in conjunction beside new issues as US retail clients do. This regulation allows US bank and issuers to compete in the international wherewithal markets for funds in need being constrained by the sometimes restrictive US wellbeing laws.

After a seasoning time of year Reg S securities may be traded by US residents, too.
