Answers: Hmm, off the top of my head. I think a business is need of the most change when it's facing tougher competition from it's rivals. Look at Ford recently and GM. They are having to find ways of cutting costs, develop new types of engines because of the likes of Hundai, toyota in comparison are making cars cheaper, more environmentally friendly capable of using less fuel - therefore almost becoming #1 sales in US. To provide you with a brief summary it would be increased competition, falling profits, increasing costs (e.g. steel companies right now, price of gold is going up etc), lack of efficiency and waste e.g. wind vs nuclear, public pressure - environmental challenges, a company with large complaints possibly, one that is involved in changing unstable/uncertain times (Blair and JPMChase) or markets (Northern Rock), one that is facing human rights issues (china/india), one that is lacking in innovation e.g. ipod released - profits increased and share prices for shareholders which inturn attract more investors. Another one could be when one is facing employees with low self-asteem - you could bring in Maslow's (motivation) theory, Hertzberg, Taylorism to discuss organisational issues etc. Hope this helps you.
