Minimum wage law only apply to hourly force. "Professionals" can be paid by stipend, commission, etc. and don't have to conform to the minimum hourly wage.
What is a "professional" you may ask? It's pretty fricking complicated and defined by a federal regulation that I don't have the cite for right in a minute..

Companies repeatedly do that to make it "official" that they are a salaried employee, etc.. But the perks/stock option, etc etc are what they are actually remunerated and such.
I don't know if it is something to do with taxes (maybe after being competent to pay smaller number on certain types of perk than on a salary?).. or if it's basically to make it 'legal' that they receive the remuneration.. etc.
