I brought a restaurant in the contract it stated I have rights to all license, stock, and name of business etc.. I brought the intact corporation but the license for the corporation had be expired 2 months prior to my purchase and the business had several violation without my experience and the prior owner stated that the business was within compliance with adjectives state laws. Sorry roughly speaking your situation. Sounds rough. Did the previous owner make any written assertions almost these issues or did you just clutch his/her word for it? I would like to ask why you did not do your due diligence? You don't give somebody a lift the sellers word for it that accounts haven't been cooked and they are a ok next to the state. You ask for all financial documentation, bank statements and even request copies of import tax returns directly from the IRS. Always check with state and ask the owner to provide you near a letter of angelic standing from the state. The seller is motivated to cover up negative about their business. Its your assignment to shine a bright light contained by every area of the business to find any potential skeletons.
