Getting sued by "member" of LLC?

I filed for an LLC later year as I was the sole registered agent beside two "members" specified by me. I have since added another "member". It is out of order out wiht him and he is threatening to sue me for time and services. We are a booking agent and really have not see much in the channel of monies coming in. There be no written agreement on any terms of him man an employee or subcontrator. We both, I thought, "independent agents" for like peas in a pod cause. We both be doing th work for the love of doing it in hopes of developing something. he say he can bill be for labor costs or future considerations of the LLC.
I cannot afford any type of lawsuit. can anyone give any advice.

Yeah -- tell him to run a hike. As a practical business, who cares if he sues the LLC -- if you haven't have many revenues after the LLC has nil to pay near anyway. And as a general proposition you won't be individually liable for LLC debts. So even if he won the case and get an award for $X cash, he'd hold nothing to collect against. He'd be a moron to sue contained by that circumstance and he'd have a tough time finding a legal representative to take his travel case (there probably isn't a lawyer who would bear it on contingency) unless he wants to take-home pay by the hour, which is not cheap.

Having said that, I don't think he'd win the skin even if he filed it. First, assume he sues for labor costs.

From your description, I'd say-so the agreement was for respectively of the 3 to contribute their services to the LLC in exchange for equity (I assume 33 1/3% to each). And that if he considered necessary money, he should've negotiated for it nearer. If he does sue, the burden of proof is on him to show that there be an agreement to pay him bread. That will be tough to do with no written agreement, especially when you can ask him (i) if you be working for cash, what did you dispense the LLC in exchange for your 33 13%? and (ii) show me the document that say you're different than us other two, who gave services within exchange for our 33 1/3% interest (instead of cash).

But if I understand you right, within was no such agreement. Without an agreement, his suit will walk nowhere -- he can't just vary his mind and try to re-negotiate (extort) cash very soon. The bottom line is, you be all equity investors taking a unsystematic that there would be money. If it would've worked, the upside would be that you adjectives would've owned a piece of the future income; but that's the providence you take when there's an upside -- there's a downside, too. He can't be an equity holder when things look promising, and afterwards change to an hand (with a claim for cash) when it starts looking bad. You didn't do that, the other productive member didn't do it -- share him to show you the document that the LLC agree to that lets him do it.

Second, assume he sues for what you call 'future considerations of the LLC.' That is (to my mind) the same as truism he owns a piece of the company. Which he does (as above, I assume 33 1/3%). If you want to change that, enter a settlement agreement near him by which he disclaims any interest in the LLC or its adjectives income (but he'll want a lump sum to do this).

In any event, you can't prevent a person from taking an unreasonable position, or even from suing. The best you can do is realize the statute is on your side here and given the above, chances are he's of late making idle threats (whether he realize it or not).

The accountant that we use through our small business charges per hour depending on how much work has to be done. If you are simply doing one or two jobs for a company than the rates may be superior but if you are doing several jobs on a continual font then charge smaller amount. What I do is work out my costs and overhead per month and devide them by the number of customers

For example, I bought Quickbooks Contractor Edition for $500 and work for 3 companies, this license will have to be renewed so I devided the cost between the 3 companies and devided it by 12 to take a monthly amount. Then internet costs and other overhead etc per month.

I worked out how many hours I expected to work respectively month in total and divided my costs by that and added my 'hourly rate' (profit & wages) to that to achieve the rate I charge people.

So knowing how long a in no doubt amount of work usually takes me, I bestow them a rate based on my hourly rate, so one customer take me about 10 hours a week, the other 20 and the final one is solitary 4 hours - they rarely swing too much from that so some weeks I am up a little some I am down but it works out within the end

it all depends on the type of work that your client is have you do. if they want you do do their taxes for them, you might want to charge per hour. however, if they want you to manage their expenses and such, you might want to charge a monthly rate depending upon how much work here is to be done. you dont want to charge too much, but too little and you wont have a home business anymore.
